Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Treffio platform, including the Treffio website, the admin dashboard at admin.treffio.com, public event registration sites hosted on *.treffio.com, the Treffio mobile applications, and any related services (together, the “Service”).

The Service is provided by Treffio ApS, CVR 42 02 16 79, Niels Ebbesens Vej 16, 1911 Frederiksberg C, Denmark (“Treffio”, “we”, “us” or “our”). You can reach us at [email protected].

By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

Treffio is a software-as-a-service event management platform. Administrators use it to design event registration flows, send invitations and communications, sell tickets, scan attendees, and manage guest lists. Guests use it to register, receive event communications, and access event content via web and mobile apps.

The Service is offered on multiple subscription tiers and free trials, the current details of which are available on treffio.com. Specific commercial terms for Administrators and Customers are set out in the License Terms.

3. Eligibility

You may use the Service only if you:

  1. are at least 16 years old, or older if a higher age is required by your local law;
  2. have full legal capacity to enter into binding agreements; and
  3. are not prohibited from using the Service under applicable export control, sanctions, or similar laws.

Administrators additionally warrant that they have the legal authority to bind the Customer they represent.

4. Accounts and Security

To access certain parts of the Service you must create an account. You agree to:

  1. provide accurate and current information when creating and maintaining your account;
  2. keep your sign-in credentials confidential and not share them with others;
  3. notify us promptly at [email protected] of any actual or suspected unauthorized access; and
  4. accept responsibility for all activity carried out under your account, whether or not you authorized it.

We may suspend or terminate accounts that we reasonably believe to have been compromised, used in violation of these Terms or the AUP, or used to circumvent our systems.

5. Acceptable Use

Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. The AUP includes, among other restrictions, prohibitions on:

Violations of the AUP may result in suspension or termination of access without prior notice and, where applicable, in disclosure to law enforcement.

6. Content and Data Ownership

6.1 Customer / Administrator content

As between Treffio and the Customer, the Customer retains all rights, title, and interest in and to the Event Data it uploads, configures, or generates through the Service. By using the Service, the Customer grants Treffio a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display the Event Data solely as necessary to provide and maintain the Service, comply with law, and enforce these Terms.

The Customer warrants that it has all rights, consents, and lawful bases necessary to upload and process the Event Data in the Service, including for the personal data of Guests, prospective Guests, and any other data subjects.

6.2 Guest content

Guests retain all rights to their own personal information and to any content (such as photos, comments, or messages) they submit through the Service. Guests grant Treffio and the relevant Administrator a limited, non-exclusive license to use such content solely for the purpose of operating the event for which the content was submitted.

6.3 Aggregated and anonymized data

Treffio may compile aggregated, de-identified, or statistical information that does not identify any natural person or any individual Customer (“Aggregated Data”). Treffio may use Aggregated Data for any lawful business purpose, including improving the Service, benchmarking, and product analytics. Aggregated Data is not Event Data.

7. Intellectual Property

The Service, including its software, design, logos, text, graphics, and the selection and arrangement thereof, is the exclusive property of Treffio and its licensors, protected by copyright, trademark, and other intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. Except for that license, no other rights are granted.

You may not:

  1. copy, modify, distribute, or create derivative works from the Service or any part of it;
  2. reverse engineer, decompile, or attempt to derive source code from the Service;
  3. remove or obscure proprietary notices;
  4. use the Service to develop a competing product; or
  5. use any robot, scraper, or other automated means to access the Service except as expressly permitted by us in writing.

8. Privacy and Data Protection

Our collection, use, and disclosure of Personal Data is described in the Privacy Policy. When Treffio processes Personal Data on behalf of an Administrator (and their Customer) in connection with their event(s), the Data Processing Agreement applies and forms part of the agreement between Treffio and the Customer.

9. Communications from Treffio

By using the Service you agree that Treffio may send you transactional communications (such as one-time codes, security alerts, ticket confirmations, billing notices, and operational notifications) by email, SMS, push notification, or in-app message. These communications are necessary to provide the Service and cannot be opted out of without ceasing to use the Service.

Marketing communications are sent only with your separate, prior consent and may be opted out of at any time, as further described in the Privacy Policy.

After an event has ended, Guests may continue to receive strictly transactional service messages related to that event for a reasonable period — for example, post-event evaluations, certificates, photos or material from speakers, or operational follow-ups requested by the Administrator. Such messages are not marketing and do not require separate marketing consent. Guests may opt out of such post-event communications at any time using the unsubscribe mechanism included in each message.

10. Third-Party Services

The Service relies on certain third-party providers (for example, payment processing by Stripe, SMS delivery by Twilio, hosting by Digital Ocean, and database services by Supabase). A current list is maintained in the Subprocessor List.

The Service may also link to or embed third-party websites, applications, or content. We do not control these third parties and are not responsible for their availability, content, or practices. Your interactions with third-party providers are governed by their respective terms.

11. Service Availability and Modifications

We aim to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time. We may modify, suspend, or discontinue parts of the Service at our discretion, including for scheduled or emergency maintenance. Where reasonably practicable, we will provide advance notice of material changes.

12. Disclaimer of Warranties

Except as expressly required by mandatory law (including consumer-protection rules that apply to private individuals using the Service in a non-business capacity), the Service is provided “as is” and “as available”. To the maximum extent permitted by law, Treffio disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will meet your requirements.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. Treffio will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, arising out of or in connection with the Service, even if Treffio has been advised of the possibility of such damages.
  2. Treffio’s aggregate liability arising out of or in connection with the Service in any twelve-month period will not exceed the greater of (a) the total amounts paid by the relevant Customer to Treffio for the Service in that twelve-month period, or (b) DKK 5,000.
  3. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable mandatory law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or for the rights of consumers under Danish or EU law.

14. Indemnification

You will defend, indemnify, and hold harmless Treffio, its affiliates, and its and their officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

  1. your use of the Service in violation of these Terms, the AUP, or applicable law;
  2. Event Data you upload or process, or your acts or omissions in connection with that data; or
  3. your violation of any third-party rights, including intellectual-property or privacy rights.

This Section 14 does not apply to Users acting purely as consumers under Danish or EU consumer-protection law to the extent such law prohibits indemnification.

15. Termination

You may stop using the Service at any time. Customer subscription terminations are governed by the License Terms.

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  1. you breach these Terms, the AUP, the License Terms, or the DPA;
  2. your use of the Service exposes Treffio or other Users to legal, security, or reputational risk;
  3. we are required to do so by law or by a competent authority; or
  4. continuing to provide the Service to you becomes commercially impracticable.

Sections that by their nature are intended to survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will survive.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to Administrators in the admin dashboard and to Customers by email at least 30 days before they take effect, except where a shorter period is required by law or by a security or compliance need. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

17. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of Denmark, without regard to conflict-of-laws rules.

The parties agree that any dispute, controversy, or claim arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the City Court of Copenhagen (Københavns Byret) as the court of first instance.

This Section 17 does not deprive consumers of the protection afforded by the mandatory rules of the law of the country in which they have their habitual residence.
